These Terms of Use ("Terms") are a legal agreement between you and [[LEGAL ENTITY — e.g., Burke Ritter / ProportionIQ LLC]] ("ProportionIQ", "we", "us") governing your use of the ProportionIQ iOS application and related services (the "App"). By downloading, accessing, or using the App, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the App. This agreement also serves as the End-User License Agreement (EULA) for the App.
You must be at least 18 years old to use the App. By using the App you represent that you are 18 or older and that you have the authority to enter into these Terms.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use one copy of the App on Apple-branded devices that you own or control, for your personal, non-commercial use, as permitted by the App Store Terms of Service. You may not: (a) copy, modify, or create derivative works of the App; (b) reverse engineer, decompile, or attempt to extract source code, except as permitted by law; (c) rent, lease, lend, sell, sublicense, or distribute the App; (d) remove proprietary notices; or (e) use the App to build a competing product.
The App analyzes photos you provide, together with details you enter, to produce estimated physique metrics (such as a body-fat range, FFMI, muscularity, proportion/aesthetics, symmetry, and gap-to-ideal targets), a personalized report, and optional AI coaching. This Section is important — please read it carefully.
Every output the App produces — including your ProportionIQ Score, Leanness/Muscularity/Proportion sub-scores, body-fat range, FFMI, lean mass, Golden Ratio Match, V-Taper Score, Symmetry Score, Frame Size, Muscle Map, Ideal Targets, and Gap-to-Ideal — is an estimate generated by artificial intelligence and automated scoring, not a clinical or laboratory measurement. Because these outputs are produced by machine-learning models, they may be inaccurate, incomplete, or wrong even when they appear confident, specific, or precise, and accuracy is affected by factors such as photo quality, lighting, pose, and clothing. We do not warrant or guarantee that any score, estimate, or AI Coach statement is accurate, reliable, or suitable for you, and you should independently verify any output before acting on it. Aesthetic and "ideal" references reflect classical/artistic convention, not a medical standard or a definition of a correct, healthy, or attractive body.
The App is provided for general informational and motivational purposes only. It is not a medical device and does not diagnose, treat, cure, or prevent any disease or condition. It is not a substitute for professional medical, nutritional, mental-health, or fitness advice, diagnosis, or treatment. Your use of the App, including the AI Coach, does not create a doctor-patient, therapist-client, dietitian-client, or trainer-client relationship between you and us, and the AI Coach is not therapy and is not a substitute for professional mental-health or eating-disorder care. Never disregard or delay seeking professional advice because of something in the App.
You should consult a qualified, licensed healthcare professional before beginning or changing any diet, exercise, or body-composition program based on the App. This is especially important if you are over 35 or have been inactive, are pregnant or nursing, or have (or have a family history of) any heart condition, high blood pressure, high cholesterol, diabetes, a joint or musculoskeletal condition, or any other medical condition, or if you take any medication. Stop and seek medical help if you experience faintness, dizziness, chest pain, shortness of breath, or any other concerning symptom during physical activity.
The App is not appropriate for, and is not intended for use by, anyone with a current or prior eating disorder, body dysmorphia, or a pattern of disordered eating or compulsive exercise. If this applies to you, please do not use the App without first consulting a qualified professional. If you are struggling with body image, disordered eating, or your mental health, help is available: the National Alliance for Eating Disorders helpline at 1-866-662-1235, and the 988 Suicide & Crisis Lifeline (call or text 988, 24/7).
Physical exercise, dietary change, and efforts to change your body composition carry inherent risks — including the risk of muscle or joint injury, illness, aggravation of a pre-existing condition, and in rare cases serious injury or death. You acknowledge and agree that any exercise, diet, or body-composition activity you undertake in connection with the App is done entirely at your own risk, and you knowingly and voluntarily assume all risks — known and unknown — associated with those activities and with relying on the App's estimates or the AI Coach. You are solely responsible for the decisions you make and any resulting consequences.
"Your Content" means the photos, measurements, messages, and other information you provide. You retain ownership of Your Content. You grant us a limited, non-exclusive license to process Your Content solely to operate the App and provide its features to you — including transmitting your photos and messages to our AI provider (xAI) to generate your analysis and coaching, storing your results, and keeping your photo history in the on-device vault, as described in our Privacy Policy. This license is limited to operating the Service; it is not a license to use Your Content to train AI models, which we do not do without your separate, explicit opt-in, and it terminates when you delete the relevant content or your account. You represent and warrant that you are the person depicted in the photos (or have all necessary rights and consent), that you are 18 or older, and that Your Content does not violate any law or third-party right. Do not upload photos of anyone other than yourself, images of minors, or unlawful content. Because outputs depend on your inputs, you are responsible for the accuracy of the details you enter and for verifying any output before relying on it.
You agree not to misuse the App, including by: attempting to gain unauthorized access; interfering with or disrupting the service; probing or scanning for vulnerabilities; submitting content that is unlawful, abusive, or infringing; automating or scripting requests; or attempting to circumvent usage limits.
The App applies reasonable fair-use limits (for example, a cap on the number of scans per period and on AI Coach usage) to keep the service reliable and sustainable. These limits are generous for normal use and may be adjusted over time. Excessive or abusive use may be rate-limited or suspended.
Certain features ("Pro") require a paid auto-renewing subscription, sold as an in-app purchase through the Apple App Store. Current options are a monthly plan and an annual plan, and a new subscriber may be offered a free trial. Pricing and any trial length are shown in the App at the point of purchase and may vary by region and over time.
The App, including its software, design, text, and branding, is owned by us and our licensors and is protected by intellectual-property laws. Except for the license granted above, no rights are granted to you. "ProportionIQ" and related marks are our trademarks.
The App relies on third-party services, including Apple (Sign in with Apple and the App Store), xAI (AI processing), and our infrastructure and subscription providers. Your use of those services may be subject to their own terms, and we are not responsible for their acts or omissions.
The app and all outputs are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the app will be uninterrupted, error-free, or secure, or that any estimate, score, or recommendation is accurate, reliable, or suitable for your circumstances. Any material you rely on is at your own risk.
To the maximum extent permitted by law, in no event will [[LEGAL ENTITY]] or its affiliates, officers, employees, or suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or for any personal injury, health, or bodily harm, arising out of or relating to your use of or inability to use the app, even if advised of the possibility of such damages. To the maximum extent permitted by law, our total aggregate liability for all claims relating to the app will not exceed the greater of the amount you paid us in the twelve months before the claim or one hundred U.S. dollars ($100).
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law — including, where applicable, liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or your non-waivable statutory consumer rights. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law.
You agree to indemnify and hold harmless [[LEGAL ENTITY]] and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your misuse of the App, your violation of these Terms, or your violation of any law or third-party right.
You may stop using the App at any time and delete your account from within the App. We may suspend or terminate your access if you violate these Terms or if necessary to protect the service or comply with law. Sections that by their nature should survive termination will survive.
We may modify or discontinue features, and we may update these Terms from time to time. If we make material changes, we will update the date above and, where appropriate, notify you in the App. Your continued use after an update constitutes acceptance of the revised Terms.
These Terms are governed by the laws of [[GOVERNING LAW — e.g., the State of ____, United States]], without regard to conflict-of-laws principles. These Terms and the Privacy Policy are the entire agreement between you and us regarding the App. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
